Mitel Announces Definitive Agreement to Acquire Polycom

Combines global technology leaders to create a complete communications and collaboration portfolio and an enhanced ability to deliver profitable growth

OTTAWA and SAN JOSE, Calif., April 15, 2016 (GLOBE NEWSWIRE)
  • Creates new $2.5 billion revenue company with scale and differentiated portfolio to expand in evolving enterprise communications market
  • Delivers attractive value for Mitel and Polycom's shareholders with significant operating leverage and synergy opportunities
  • Polycom brand to be retained
  • Results in a significant reduction in net debt leverage ratio

Mitel (Nasdaq:MITL) (TSX:MNW) and Polycom (Nasdaq:PLCM), today announced that they have entered into a definitive merger agreement in which Mitel will acquire all of the outstanding shares of Polycom common stock in a cash and stock transaction valued at approximately $1.96 billion. Under the terms of the agreement, Polycom stockholders will be entitled to $3.12 in cash and 1.31 Mitel common shares for each share of Polycom common stock, or $13.68 based on the closing price of a Mitel common share on April 13, 2016. The transaction represented a 22% premium to Polycom shareholders based on Mitel's and Polycom's "unaffected" share prices as of April 5, 2016 and is expected to close in the third quarter of 2016, subject to shareholder and regulatory approvals and other customary closing conditions.

Market analysts estimate that by 2020 each person will own 26 IP-enabled devices, and over 50 billion IoT devices will come online. Each of these will need to transmit and receive data, run applications, perform transactions, and access services. At the same time, the line between our private and our public lives, including our work lives, will continue to blur. Because the network is the nexus point for this convergence, network borders are becoming increasingly porous, data it needs to process is growing exponentially, and the corporate network is interoperating with a variety of public cloud environments.
Managing who, what, and how users and devices can access distributed corporate resources is a critical line of defense for protecting today's networks. Which means that secure access needs to go beyond just traditional perimeter control. In a borderless network, connectivity can happen anywhere, so secure access needs to be pervasive. Networks and data centers need to be intelligently segmented to contain threats and control access. Security needs to follow data as it moves laterally and horizontally across the network. And security needs to function as an integrated system in order to identify advanced threats hunting across the network for data to hijack or systems to exploit.

4 Major Trends in Enterprise Mobility

If you want to get some insight to the trends of mobility in the enterprise, the guy to talk to is Ojas Rege, vice president of strategy for MobileIron. I caught up with him recently and he talked about four major trends that will have a big impact in the years ahead.

The first trend is what is happening from the application security perspective. Enterprises started to get interested in mobile apps about five or six years ago. The larger screen real estate of the Apple iPad really opened companies' eyes to what could be done with mobile apps. The earliest applications were rather ad hoc, usually project-based. Then organizations began building apps around their business workflow, and security became a bigger issue.
