Crowdfunding and the 4th Anniversary of the JOBS Act 

Next month, the final regulations regarding crowdfunding from the Federal Government will go into effect, allowing any small business to borrow money or sell shares to the average American. The Securities and Exchange Commission (SEC)'s crowdfunding regulations take hold May 16, nearly four years after the signing of the Jumpstart our Businesses Startup Act (JOBS Act) that opened crowdfunding to small businesses. These companies will be able to raise up to $1M per year provided issuers pass a background check and provide disclosures for investors to review to make a buy decision.
 
The JOBS Act was signed back on April 5, 2012. This important bipartisan legislation focused on stimulating the U.S. economy by promoting capital formation and private sector jobs. It also characterized Washington, D.C. as a place where innovation and technology issues can still be resolved in a nonpolitical way.

Crowdfunding - Will It Work?

On October 30, 2015, the SEC adopted the final rules for a new crowdfunding exemption from the Securities Act of 1933. Known as Title III, the exemption forms part of the Jumpstart Our Business Startups (JOBS) Act of 2012. The JOBS Act was originally passed with bipartisan support from Congress as an initiative intended to strengthen the American economy by way of easing the compliance requirements for capital raisings.
 
Prior to the passing of Title III, capital raisings drawing from the general public were restricted either to costly IPO's or Regulation A, itself an exemption from the 1933 Act which allowed unregistered public offerings of up to $5 million of securities in any 12-month period. Unfortunately the rules governing Regulation A were extremely cumbersome and required prohibitively large legal and accounting fees in order for companies to properly comply.

Crowdfunding is becoming more and more popular as it has revolutionized the way ideas and products are funded and brought to the market. But how does it work? NJBIA's Tyler Seville looks at the basics of starting a crowdfunding campaign.

Q. What is crowdfunding and is it a sensible way to raise capital for a business?

A. Crowdfunding is raising money by asking a large group of people, usually through the Internet, to contribute or invest a small amount of money. Often, individuals use crowdfunding for a small project or endeavor, but businesses are starting to use it to raise capital for their operations.

Using the power of the Internet, crowdfunding can be a great resource for start-ups and young companies, as well as offering individuals and organizations the opportunity to invest in ideas at the early stages. Crowdfunding opportunities have also been broadened by the federal JOBS Act of 2012, which, among other things, allows businesses to raise capital from ordinary people.

Leading Ladies: Liz Sigety
 
Make Your Own Luck


Liz Sigety is an accomplished attorney at Fox Rothschild, a century-old law firm with offices in a dozen states. She's forward-thinking, strategic, and takes a big-picture view of her work and the world around her. Which is funny, she says, because "that's not your typical lawyer." She notes that attorneys tend to focus on the details, and are methodical in their approach. Maybe that's why she  didn't set out to follow in her father's footsteps and become a lawyer. "I wanted to be a politician," Sigety says. "But most of them have law degrees, so I eventually realized I better get one, too."

At the University of Chicago Law School, Sigety gravitated toward joint classes with the business school where she became intrigued by corporate law. "I thought it sounded dry and boring, but I found business to be so interesting, and even a lot of fun," she says, adding, "I never would've imagined this when I was younger."
By the time she was 40, Sigety was named a partner at the Warrington, PA, office of Fox Rothschild, where she practices finance and franchise law in the greater Philadelphia area. "I love people and love helping them with their business transactions," Sigety says. "But I'm fascinated by entrepreneurs."

Feeding that fascination, Sigety and two Fox colleagues launched Delaware Crossing, an angel investor group that funds tech and life science companies around the Delaware River region of New Jersey and Pennsylvania. "I love being in a position to support someone's dream, and it's important to me to do so in my own backyard," explains the mother of four.

Like the dreamers she backs, Sigety has a strong sense of adventure and gets fired up over the thought of building something herself. "The world is full of opportunities and I've been lucky."

Still, she adds, "You make your own luck by having an open mind and taking initiative."
