December is here and another year is coming to an end. The holidays are always a busy period filled with celebrations and gift exchanging. Most of us struggle at this time of the year with balancing our personal lives with our work commitments.
The Chapter let out a huge sigh of relief as we completed the three most significant events of the year: our Annual Golf Tournament, the Annual REMMIES & Leadership Program and Banquet, and the Annual Holiday Party. We would like to recognize the outstanding efforts of the parties involved. The REMMIES & Leadership Banquet was EXCELLENT! Thank you to the Chair Debbie Mackey and Committee Members David Ostrom and Marc Lindsell. It is a difficult task to not only put the event together, but to cover a significant amount of information while we recognize the major contributions of individual members for their projects and their leadership efforts. Major congratulations to all of the recipients of the evening. Truly well deserved!

We would also like to acknowledge and thank NARI National President Dean Herriges and his wife, Riene Wells, for making the trip to San Francisco and participating in the evening! It was both an honor and a pleasure to have them as our guests.
We had an incredible turnout at our Holiday Party, hosted in conjunction with the Northern California Chapter of ASID and the San Francisco Chapter of AIA, Small Firms group. With 140 + in attendance, it was truly an amazing event! We would like to graciously thank our host, Heath Ceramics, for allowing us to use their venue and to witness the concept of how client and craftsman can closely interact in a manufacturing environment. The Chapter recognized Anastasia Faella as Rookie of the Year for her incredible initiative in putting this event together. Truly well deserved! This was an incredible event for promoting the NARI brand and providing great networking opportunities for our Members.
Behind the scenes, the Chapter prepares itself for the changing of Officers and Board Members and prepares for its annual Strategic Planning Meeting. With this change comes an end to the two years I have had the opportunity to serve as the Chapter's Co-President. Mark Calender will continue on as the President for the upcoming year. It has been a tremendous honor to serve the Chapter in this capacity. I have benefited from the support of so many members, which I feel deserve acknowledgement, starting with the Executive Officers and my counterpart Mark Calender who provided excellent leadership in our Board and Chapter meetings. Chip Doyle brought great insight as our Vice President and was always energetic in assisting various different Committees. Treve Johnson not only performed well as our Secretary but also was instrumental as a Marketing Chair in further developing the Chapter's new media presence. David Ostrom performed multiple leadership roles not only as Chairman of the Board and National Delegate, but also in our Business Development and REMMIES Committees. Everett Collier as our National Delegate for always providing sound counsel and offering a historical and national perspective on our Chapter. Dave Freer as our National Delegate and also instrumental as the Membership Chair in achieving the highest renewal rate in the past 5 years of approximately 85%. Adam Haedt, Treasurer, took on a tremendous amount of work in putting together a successful Golf Tournament. Other Board members who led by example included Sally Power for her work as the Programs and Locations Committee Chair and putting together two years of excellent programs. Mike Roth, who is an up and coming leader in the Chapter and was an
excellent Programs and Locations Committee participant. Thanks also go to Michael Hamman and Jeff Kann for their continued service as Board Members, assisting the Chapter in many different ways, as well as all other Chapter Members who participated in Committees and/or in other aspects of the Chapter. Finally, not to be left out, we have to acknowledge the outstanding service provided by our Executive Director, Judy Tufo, who has really strengthened how this organization is run. We are fortunate to have her!
As set by example with our Chapter's Past Presidents, I look forward to remaining an active member of the organization and the opportunity to serve our Chapter further. Happy Holidays to all and looking forward to a prosperous 2013!

A Wonderful Evening at the 2012 REMMIES/Leadership Dinner
The annual REMMIES and Leadership Dinner was held on November 14, 2012 in the Franciscan Ballroom of the Sir Francis Drake Hotel in San Francisco. It was a wonderful evening to honor the 2012 REMMIES Award Winners and 2012 Chapter Leaders.

SFBA NARI Holiday Party & Networking Event | | |
Recap of Joint Annual Holiday Party
The Holiday Party and Networking Event with ASID and AIASF was held on Thursday, December 6. It was a roaring success! We were in a wonderful venue at Heath Ceramics. There was awesome food and beverages, along with great music. A fabulous time was had by all. It was decided that this was to become an annual event!
We would like to thank owners Cathy Bailey and Robin Petravic at Heath Ceramics and David Wilholt, Showroom Manager, for the use of their amazing facility. We would also like to thank Deborah Carson of Just Cater It, it for the delicious menu, Steve Pyka, for the superb cookies, and to Brandon MaMere for spinning those wonderful tunes.

| Home Depot Rebate Program - NARI Member Benefit | | |
NARI Members Take Advantage of A Great Rebate Program
NARI has a great new program that can earn money for you! As you may know, NARI has a relationship with The Home Depot. We want to leverage this relationship to put money back in your pocket.
As part of the program, you can receive a 2% rebate based on purchases you make at The Home Depot. All NARI members in good standing are eligible for this rebate. The 2% rebate is paid by The Home Depot directly to you twice per year. In order to begin earning your rebate, you must be enrolled in the program and then register the accounts you use or plan to use to pay for items at The Home Depot (i.e. credit cards, checking accounts, and keytag accounts). To make it as easy as possible for you to take advantage of this rebate, we have put together three simple options to get enrolled and register your accounts:

- Follow the on-screen instructions or refer to the Program Enrollment Guide (link is below).
- Call the toll free number (866) 333-3551, and a Home Depot Support Center associate will enroll you and register your payment information (their support center will call this "tenders"). Please be sure to tell the representative that you are in the NARI Program.
- If the Home Depot Support Center has not received a call from you and you are not enrolled nor registered any tenders, they will call you to complete the enrollment process!

We wanted you to know about this process so you could register immediately and start earning your rebate. This is one of the most valuable benefits you receive as a NARI member, so if you have not completed steps 1 or 2 as outlined above, you should expect a call from The Home Depot Support Center team. If you receive a call from The Home Depot Support center, you should know:
- The representative will tell you they are calling about the NARI rebate program
- They will ask for your company name, address phone, email etc.
- They will give you a user name and password
- They will ask to register your "tenders". This means that they will ask you for the credit card, checking, and keytag account numbers you currently use or plan to use at The Home Depot.
In order to ensure you are speaking with an authorized account representative, please ask them for the verification code. The code is "NARI402". This is for your protection, so you can feel safe providing this information over the phone. It's your verification that they are authorized to call you.
Once the code is confirmed, you know that you may safely share your credit card information. The representative will not ask you for the "CID" number on your card so do not share that information
All credit card and bank account information is immediately encrypted by the system. It is stored and accessed by processes that are audited and compliant with PCI (Payment Card Industry) standards for security and privacy so your information is safe.*

Now that year-end is here, time for some housekeeping items!
Website Listing. I would like to remind all members to please review your entry on our website, and if there are any changes to be made, such as phone numbers, address, category selections, etc., to please let me know. Also, if you have had a recent email address change, please let me know about that as well.
Business Cards. To those members who attend Chapter meetings on a regular basis, you know that we have a NARI "house" where we house members' business cards. We don't have enough room to house all our members cards at once, so we put them up on a rotating business. Members and guests alike take these cards for business, refererral, etc., and they are valuable to have. I would like to ask each member to please send me a small supply (25 cards). For those members that regularly attend meetings, please drop of a small supply to me when you come in to register for the next Chapter meeting.

Incorporation

With the economy picking up, now is a good time to consider incorp orating your business if you are not already a corporation. (This is an often discussed topic but bears periodic review.) Your personal assets may be on the line if you are operating as a sole proprietor or a partnership and things go badly.
The Definition of Things Going Badly. The scenarios of things going badly include:
A project goes sideways, the homeowner sues you, your insurance declines coverage, and there is a large judgment; or
The partnership is run poorly and incurs excessive amounts of debt or other liabilities. Keep in mind one partner can bind the other partner to a bad deal without him or her knowing.
Should I Incorporate? For those who may be considering a change in their entity status, below is a brief discussion of what a corporation is - and its advantages.
Defined. A corporation is defined as an independent legal entity, separate from the people who own, control, and manage it. In other words, the law views the corporation as a legal "person" that can enter into contracts, incur debts, and pay taxes separate and apart from its owners. Other important characteristics include: a corporation does not dissolve when its owners (the shareholders) change or die; and the owners (shareholders) of a corporation have limited liability. That is, under most circumstances they are not personally responsible for the corporation's debts.
Advantages. When you incorporate your business, you almost surely benefit in two important areas - liability and taxes.
Protection of personal assets. Unlike sole proprietors and general partnerships, shareholders/officers/directors of properly maintained corporations are not liable for the business' debts and obligations. One is (usually) limited in liability to the amount invested in the corporation.
Taxation. Corporations are usually taxed at a lower rate than individuals. There are no limits on the amount of losses a corporation may carry forward to subsequent years.
Disadvantages. Although the advantages usually outweigh disadvantages, there are some disadvantages.
Ongoing fees. Corporations are required to file annual documents, which require small filing fees.
Record Keeping. Corporations are required to hold and memorialize annual shareholder and board of directors meetings annually (but this is pretty easy).
Taxes. Corporations are subject to double taxation of corporate profit when income is distributed as dividends. (But this can be usually avoided by electing to be an S Corporation.)
Difference Between C Corporation and S Corporation.
Many find this a confusing issue. The distinction mostly has to do with tax treatment.
When a corporation is initially formed, it comes into the world as a C Corporation. If you do nothing more after forming your corporation, it will remain a C Corporation.
C Corporations are taxed as separate entities and must report profits and losses on their corporate tax returns. When a corporation chooses to pass along its after-tax profits to shareholders, the shareholders are required to report the dividend as income on their personal tax return even though the corporation has already paid corporate taxes - hence, it is sometimes referred to as "double taxation."
A C Corporation only becomes an S Corporation when, with the consent of all shareholders, special tax treatment ("pass-through taxation") is sought by filing a required form with the IRS. (Before making this election, consult with your attorney and/or CPA).
As an S Corporation, the corporation itself does not pay income taxes. Instead, the individual shareholders include their share of the profits on their personal tax return, paying at the individual tax rate.
The vast majority of my contractor clients elect to become an S Corporation.
Limited Liability Companies (LLCs). As you may know from my previous article on construction LLCs, starting January 2012 the Contractors State License Board for the first time began issuing contractor licenses to LLCs. LLCs combine a corporation's liability protection with a partnership's tax flexibility.
Although it may seem a good idea, LLCs may not be the best option for most of my readers simply because the insurance and bonding requirements are onerous. Consider these disadvantages before switching entities.
Conclusion. Now that business is finally improving after four years, if not already a corporation, one should consider incorporating. It is usually the better of the two options (corporation versus LLCs).
How to Incorporate. One can do it himself/herself, or use a CPA, or use an attorney. It will come as no surprise to my readers that I think an attorney does the most thorough job. A business lawyer spends much of his/her time working with the many moving parts of a corporation, including formation issues.
