| DOJ Clears Level 3, tw telecom Merger | |
The U.S. Justice Department has cleared the pending acquisition of tw telecom by Level 3 Communications. Level 3 said Monday the process is completed under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (HSR).
The acquisition is still pending approval by the Securities and Exchange Commission, Federal Communications Commission and various states.
Shareholders of tw telecom and Level 3 also must approve the $7.3 billion deal. In a press release, Level 3 said it and tw telecom will provide a joint proxy statement/prospectus to its respective stockholders.
Broomfield, Colorado-based Level 3 in July announced plans to acquire tw telecom for $5.7 billion and assume tw telecom's $1.6 billion in debt in a deal worth a little less than $41 per share.
Level 3 anticipates the merger will close in the fourth quarter.
Based on results in the 12 months that ended on March 31, 2014, the combined company generated pro forma revenues of $7.9 billion.
Founded in 1985 as Kiewit Diversified Group Inc., Level 3 13 years later raised $14 billion in pursuit of constructing a high-speed backbone network that could meet the explosive demand for Internet services.
But wholesale carriers such as Level 3 bled heavy financial losses for years and struggled to meet their debt obligations. After the telecom bubble burst in 2000, a number of Level 3's competitors filed bankruptcy, either shuttering their operations or reorganizing with less debt. Level 3 hung around and scooped up rivals beginning with the 2005 acquisition of WilTel, formerly known as Williams Communications.
Arguably, Level 3's most significant merger was with the once high-flying Global Crossing in 2011.
Earlier this summer, Level 3 said the acquisition of tw telecom will pair its global presence with tw telecom's extensive local assets and operations in North America.

Time Warner, Charter, Comcast, and other cable companies can actually vary dramatically in their process of quoting.
We will qualify each site to make sure cable is available at that location. Coax and fiber is not ubiquitous like copper, and frequently there are no cable facilities available at a specific site. When this occurs, the cable companies will incur and often forgo a set amount of construction costs at no additional charge to the customer.
Once you are ready to place your order, email quotes@connectivitysource.com to request paperwork. Requests will be internally forwarded to our orders department at orders@connectivitysource.com. Orders will assemble the paperwork and deliver an email contract by e-signature to your customer, or directly to you to forward to your customer. You also have the option of printing, completing, and returning the unedited paperwork if customer is not comfortable utilizing the e-signature process.
After signature, the completed paperwork will be sent to orders@connectivitysource.com where it is filed, processed, and managed until install. Agents will receive updates on the progress of the order through final installation. All update requests or change orders after the original contract submission should be directed to this email address.
We normally receive compensation from the carrier 2 months after install. All partner commissions are paid out on the following 15th commission run.

Additional areas for the New Business Class Internet Tiers within select areas in NYC, Los Angeles, and Austin!
The Time Warner Cable Business Class is pleased to announce the expansion of areas for the new Business Internet tiers with faster upload and download speeds available IN SPECIFIC AREAS WITHIN NYC, LOS ANGELES, AND AUSTIN, TX MARKETS. The new tiers are:
100 Mbps x 10 Mbps
200 Mbps x 20 Mbps
300 Mbps x 20 Mbps
These new tiers are created to address competitive offerings and meet customer needs for faster Internet speeds to use bandwidth intensive applications such as Voice-over-IP, video conferencing and collaboration tools for their business. Product Availability

New Orleans Cloud Partners Show Update:
A quick thank you to all the agents and partners I was able to meet with last week in New Orleans. I haven't seen any official numbers, but the show appeared to be one of the largest East Coast shows that I have attended. There was a surprisingly strong participation from many Carolina and Georgia partners. I opine the main theme of the show.. this cloud thing, is sort of a big deal. From a vendor standpoint, not only did you have your normal carrier participation, but heavy participation in all other aspects of the cloud as well. Companies from data backup and storage, to VOIP providers, to hardware manufacturers like Yealink were all showing off their goods. I am looking forward to discussing and implementing many of these new cloud concepts and products with each of you.
