The Importance of Understanding your Cash Flow 
Ever bought a house? The math looks good - you have the downpayment, you even know what you will pay in land transfer tax, so you're good, right? Not by a long shot. The closing costs can kill you - lawyer's fees, moving costs, new furniture, painting, and dozens of other new expenses you didn't even think of!

It's the same when you buy a business. The costs you don't know about will be the ones that might kill the deal. Some costs are evident (lawyer's fees), but others can creep up on you unawares (PST on used equipment, for example). But the real killer can be just the daily working capital you will need to run the business. Many buyers buy a business with barely enough money for the downpayment. Don't fall in to that trap - make sure you understand the monthly cash flow of the business and what you will need to run the business going forward.

Don't Check Out Just Yet!

When we sold our house a number of years ago, it took seven weeks! That's a long time to keep your house extremely neat and tidy, ready for a showing at any time. Well, I hate to break the news, but selling a business can be an even longer wait. If you are thinking about selling, be aware that it can take anywhere from 6-18 months to sell a business, if not longer. Even if you find a buyer almost immediately, the time required for due diligence, financing, and all the potential legal processes alone can take months. And, given the uniqueness of each business, and each business buyer, the time it takes to find the right buyer can be substantial.

 

As you are waiting, it is essential that you keep running your business as best you can. In fact, anything you can do to keep sales and profits up is even better. Just like we had to keep our house tidy for any potential buyers to drop by, you need to keep the business running in tip-top shape so a buyer can't see a noticeable downtrend in sales or profits.

 

This is one of the many reasons we encourage people to plan ahead when they want to exit their business. Think in terms of a three to five year time horizon. It may not take that long to sell, but when you look at tax and organizational considerations, you will need the extra time before you go to market, as well as to prepare emotionally. When it does come time to do a deal, the more rushed you feel, the less you will get for your business. If you are just starting to think about your exit, we encourage you to talk to us. There are many things you can do now to improve your business and, ultimately, improve your bottom line.

I think I could be interested in being my own boss, but I am not sure what type of business to buy. What should I consider?
    

Many people dream of owning a business to be their own boss, have job security, control their hours, build equity and many other reasons. In order to narrow your focus in your search, you will need to ask yourself some questions.  

 

What is your background and experience? What are your strengths and weaknesses? Are you good at sales? Operations? Supervision? An honest look at your personal strengths and weaknesses is the first step at determining what type of business would be a fit. If you hate sales, don't consider a sales orientated industry, or ensure there is room to hire a salesperson.

 

What size of business do you want? How many employees? What level of investment and risk are you comfortable with? How many hours/week do you want to work?

What level of income do you want to make? Keep in mind business owners are often initially underpaid for the amount of time they put into the business.  Do you want to be the manager or hire someone?  What do you enjoy? What are you passionate about? 

 

Once you have answered these internal questions, it will help narrow your focus and make the business search that much smoother.
