Torch Transaction Results in New Funds

Excerpted from an article in The Huntsville Times by Marian Accardi

Torch Technologies recently created the opportunity for employees, directors and investors to commit to more than $1 million in charitable contributions.

The company repurchased all outstanding stock owned outside its employee stock ownership plan (ESOP), the final step in completing the conversion to 100 percent ESOP-owned status. Full employee ownership had been a goal for the company since it was founded in 2002. An ESOP, an employee benefit plan that offers company stock to employees, was set up in 2004, when the company had grown to 50 employees. It now has about 250 employees, with most of them in Huntsville.

In a Huntsville Times article last July, employees of Torch found out that some Dynetics employees had utilized a similar transaction to commit to $3.2 million in charitable giving through the Community Foundation of Huntsville/Madison County. Forty-three Dynetics employees had used contributions of their Dynetics stock to set up donor-advised funds.

"When the ESOP transaction came about, we wanted shareholders to be aware of the opportunity to set aside a portion of their good fortune for charitable giving," CEO Bill Roark said. "Enabling shareholders to partner with The Community Foundation to donate stock seemed like the perfect opportunity." The foundation was invited to make a pitch to Torch in early December.

An undisclosed number of shareholders committed to more than $1 million in charitable giving, with $744,000 of that amount used to fund donor advised funds at the Community Foundation, said Scott Parker, Torch Technologies' chief operating officContributions to the donor-advised funds have many advantages for the donor, according to Dr. James Gilbert, the Community Foundation's board chair. "In this case in particular, closely held stock can be used to set up a donor-advised fund with the donor realizing a tax deduction for the fair market value of the stock. The donation helps to offset 2011 tax consequences resulting from the sale of other shares of stock.

The foundation invests the donor-advised funds, and they grow over time until they're distributed, Gilbert said. Donors may make gifts at any time to any 501(c)3, church or government entity, he said.

"This (Torch gift) takes us from $6.2 million in assets to over $7 million in assets," said Lynne Berry, the Community Foundation's executive director.

It's Never Too Early to Learn How to Give

From a little acorn, a mighty oak grows.

When Lynne Berry, Executive Director of the Community Foundation of Huntsville/Madison County, was sharing with Dynetics' employees how theyGriner Family could turn a corporate restructuring opportunity into a way to benefit their favorite charitable causes, little did she know that a story she shared would resonate so deeply with Cindy Griner. Lynne spoke about a family in Birmingham who set up a donor-advised fund that grew into a sustaining fund passed down through multiple generations. At an early age their children were included in the donation selection and were provided an opportunity to research causes and organizations that were important to them. In the process, they learned how to be generous, caring members of society. As Cindy Griner shared, "Lynne's story inspired me that I too could set up a legacy for my children to appreciate the same values that my husband Gary and I share and to really learn how to give." In that way, the story of the family in Birmingham gave birth to the new Lucinda K. and Gary Griner, Jr. Family Fund.

Gary observed, "Having a Donor Advised Fund makes you more aware of what is going on around you." Before starting their fund, they admitted that community needs would often get lost in "the noise" of every day life. Now they are listening with more sensitivity for opportunities to help and this is a lesson that they have shared with their daughters - twelve-year-old Gabrielle and ten-year-old Samantha.

This year, the girls were each given the opportunity to donate $500 to their Gabrielle and Samantha Grinerfavorite causes. This required them to research charities that interested them and then to make a decision about where to give their money - a tall order for children who are not yet teenagers.

Gabrielle chose Heifer International and she shared with excitement and enthusiasm her reasons for doing so. As she researched more about the organization, she discovered that they give animals to families in under-developed countries, but they add a unique twist to their gift. When a family receives an animal from Heifer International, they must agree to give away the firstborn offspring to a neighbor or someone else in need. In this way, Gabrielle's donation is literally a gift that keeps on giving, which she deemed "pretty cool."

Samantha's chosen charity was a little closer to home. She donated her $500 to her school library because "there just aren't enough good books that kids are interested in reading." She donated the funds in hopes that the library would stock some higher-level books that would challenge the older elementary students. In addition, she and her dad have talked about their hopes that the school will consider setting up a Student Advisory Board to get input from students about the books and series that they would like to read. As Samantha - an avid reader - said, "If they get books that the students are interested in, more people would go to the library," an idea that she found to be a good end unto itself. For Samantha, she didn't just invest $500, she invested herself more fully in her school and in her library, looking for ways to make improvements for the benefit of all.

Gabrielle and Samantha shared what they are learning by giving through this Donor Advised Fund.  Their feedback shows a maturity far beyond their years. As Samantha shared, "A lot of my friends are looking to get things for themselves; this fund gives us a way to do something for someone else." Gabrielle echoed, "It teaches us good citizenship. I've learned that I can make a difference in my community." Gary and Cindy Griner made these lessons possible when they had the foresight to use their Donor Advised Fund to give the girls hands-on experience with giving. From this little acorn will surely grow a mighty oak of giving that will last for years to come.
