Dear IBBA Members:

 

At a meeting of the IBBA Board of Directors on June 15, 2011, the Board approved several revisions to the IBBA Bylaws, as recommended by the Bylaws Committee at that time.

The Bylaws require that members are sent notification of the proposed changes within 45 days of the Board approval so that YOU have an opportunity to accept, reject or repeal the proposed changes.

 

IBBA did not meet the required timeline with an announcement sent August 25, 2011; therefore, the Board revisited the proposed bylaws changes on January 10, 2012 and they were passed unanimously. Please consider this as official notification of the proposed changes as outlined below.

 

Also note that no action is required by you unless you elect to petition for repeal or rejection of the proposed bylaws under Sections 10.03 and 10.04 of the Bylaws, which state:

 

10.03 REJECTION OR REPEAL PETITION BY MEMBERSHIP. The Board of Directors shall notify the membership of any repeal, amendment or alteration of the bylaws within forty-five (45) days of enactment by the Board of Directors. Within thirty (30) days of delivery of the amended bylaws, ten percent (10%) of the voting members in good standing may petition the Board of Directors to reject or repeal any amendment or alteration made to these Bylaws by the Association Board of Directors. Upon receipt of the petition, the Board of Directors shall direct the Association Manager to send a written ballot by United States mail, private express, facsimile or other electronic delivery acceptable under the Texas Business Organizations Code or its successor statute to all voting members in good standing to reject or accept the proposed Bylaw changes. Two-thirds of the members voting may reject or repeal the amendment(s) or alteration(s). All ballots must be received at the Association office within thirty (30) days from the date of sending by the Association Manager. Members may return ballots by United States mail, private express, facsimile or other electronic delivery acceptable under the Texas Business Organizations Code or its successor statute.

 

10.04 NO WAIVER. The provisions of this article providing for amendments, alterations, or repeal of these Bylaws may not be waived in any manner whatsoever by the Board of Directors or the members assembled at any Association Meeting.

 

Should you wish to repeal or reject the proposed changes, please forward a written petition rejecting the proposed changes and include your full name, address, contact information and signature by electronic mail to admin@ibba.org, or by mail to: IBBA, 401 N. Michigan Ave., 22nd Fl., Chicago, IL 60611 on or before March 26, 2012.
