Confidentiality agreements are involved in every M&A transaction. Predictably, there are different forms depending upon whether the party preparing the agreement is the Seller, the Buyer, a Private Equity Group, or a Public Company. Significant interests often need to be balanced and negotiations can get off to an acrimonious beginning without guidance as to what terms can be expected as well as what is customary and reasonable in the particular circumstances.
The purpose of this seminar is to review the issues common to most agreements such as what is meant by the term "information", who it may be disclosed to, whether a prospective buyer should be prohibited from contacting and/or hiring seller's employees or soliciting seller's accounts. Also discussed will be the issues of attorney fees and costs being awarded to the prevailing party in event of a breach, the survival period of the agreement and the venue for enforcement. Sample confidentiality agreements will be provided to participants upon conclusion of the webinar.
