Dear Members,

Our Steering Committee has started the series of meetings that will culminate with our Second Annual L'Esprit de France Gala.  We are delighted that the Central City Opera and the Denver Art Museum will again collaborate to help animate the evening.

Our first L'Esprit de France last June was a success, and we are planning for the next level for this year.  If you are interested in attending the gala, please let us know as soon as you receive your save-the-date cards.  We are limited to 200 guests and expect a sell-out.  I hope to welcome you there.

Past Event Reflection

We held a Meet our Member Reception and Networking on February 7 at Amuse by Michel in downtown Denver.  Greg Dean, Attorney at Mullin, Dean  & Heimos LLP, spoke to us about tax differences between the US and France.  Since the grand majority of attendees were American, Greg changed the original topic to be more inclusive.  There were some great conversations about buying, selling and renting property in France as well as working and living in either country and paying income tax.  Guests enjoyed a wide array of gourmet tapas and networking after the presentation.  Thank you to Greg Dean, Amuse by Michel and all the guest who attended.

Air France could offer Delta a 10-figure check

Delta plane taking off The Wall Street Journal's report Thursday [January 17, 2008] that Air France/KLM Group could contribute capital to a bid by Delta Air Lines Inc. to merge with Northwest Airlines Corp. highlights an underreported aspect of the current airline M&A craze: That doing a deal could be a carrier's best chance to raise much-needed cash to survive a coming downturn.

Delta is currently in talks with both Northwest and UAL Corp.'s United Airlines Inc. about a combination that would create the world's largest airline. Air France has a vested interest in the outcome, as it currently relies on partners Delta and Northwest to feed North American traffic into its hubs in Paris and Amsterdam. A deal between Delta and Northwest would help solidify that relationship, while a merger with United could see Delta lose to a competing alliance including Air France rival Deutsche Lufthansa AG.

Air France, with a $9 billion war chest at its disposal, could offer to buy up to 25% of a combined Northwest and Delta as an incentive for Delta to move in that direction. As incentives go, such a capital infusion would be enticing. Airlines, which face intense competition on domestic routes and the aftershocks of sky-high oil prices, have found it hard to attract investor attention of late. But as America West Holdings Inc. illustrated in 2005 when it bought US Airways Group Inc. out of bankruptcy and took the target's name, M&A is an exception. The new US Air attracted $565 million in capital from a group of private equity and industry investors.

Some believe that Delta's decision now will come down to which transaction could generate the most cash. "It has nothing to do with which deal 'works' the best. It has nothing to do with which airline has the best 'fit' with another in terms of fleet mix," Holly Hegeman, former senior contributing editor to TheStreet.com, wrote recently on her blog site planebuzz.com. "What it has to do with is this -- which deal is going to give Delta Air Lines the best infusion of capital going forward."

If that is indeed the case, a 10-figure check from Air France could be ample reason for Delta to spurn United and strike a deal with Northwest. - Lou Whiteman
