Many times prospective clients come in to discuss a business transaction that has gone bad or never fully materialized. They want to know what their options are for resolution. Often, these prospective clients have lost some kind of tangible expense in the failed transaction, such as money or property value, and also intangible expenses, like time and mental anguish. Before advising prospective clients on how to proceed, we must first determine if a valid contract was created in the first place. Without the basic elements of a contract being present, these prospective clients are often left with very few avenues of recourse against the other party. Three elements need to be present in order for a contract to be valid: offer and acceptance also known as "a meeting of the minds," and consideration.
