As the new year begins, Spiller Law is again grateful to all of its friends and supporters for their ongoing support and business, and looks forward to continuing to provide excellent and caring legal services to its growing roster of corporate, entertainment and individual clients.

What we do:


* For Business Clients. We work with small to medium-sized businesses in the areas of contracts, business planning, mergers and acquisitions, partnership agreements, corporate and LLC formation, private offerings, and licensing.

* For Estate Planning Clients. We work with individuals and couples to create affordable estate plans (using wills, trusts, and powers of attorney) that will take care of loved ones and give everyone peace of mind.

* For Entertainment Clients. We work with film/TV, new media and music clients in the areas of business formation, business planning, contract negotiation and licensing.

What we have done:

Since our last newsletter, we have
  • Been selected to be legal counsel for a SF-based film and television production company
  • Advised a San Francisco health services consulting  firm in merger talks with a national company
  • Resolved a dispute between owners of a Los Angeles-based visual affects company
  • Negotiated contracts on behalf of participants in a reality-based cable network television series
  • Created a business plan for a film production company
  • Negotiated contracts on behalf of a Marin-based 3D special effects film company
  • Been selected to negotiate music licenses for the leading online guitar instruction website
  • Prepared a private offering for an upscale Sacramento-based restaurant company
  • Created an endowment for a non-profit musical organization
  • Begun negotiations on behalf of a film producer to resolve a film licensing dispute.
  • Created a number of estate plans for individuals and couples

On November 1, 2008, we relocated to a beautiful office building near the Embarcadero in Downtown San Francisco. Here is our new address:

The location also meets my personal requirement that it be within walking distance of the waterfront so that I can arrange to spend my lunch hour watching the sailboats putter about on the Bay.

Reality Television Show to debut in January
"Blonde Charity Mafia"scheduled to appear on the Lifetime Network

A Spiller Law client, Late Night Shots, a social networking site based in Washington, D.C., is a participant in a reality-based television show currently titled "Blonde Charity Mafia", a show about the Gen X social scene in Washington, D.C.

Based on MTV's "The Hills", "Blonde Charity Mafia" was bought by the Lifetime Network and was originally slated to air immediately after "Project Runway", a show that was to be acquired by the Lifetime Network from the Bravo Channel.  But the network has been in a legal battle with Bravo over "Runway's" airing making the timetable for the debut of "Blonde Charity Mafia" unclear at this time.

Restaurant Company chooses Spiller Law
 Spiller Law advised on Private Offering

Pearl on the River, LLC, a Sacramento, California-based restaurant company, chose Spiller Law to advise it in its campaign to open it's flagship restaurant, Pearl on the River.

The upscale restaurant is to feature fine California Cuisine and will be situated on the Sacramento River near Sacramento's downtown. It is due to open in April 2009.

In partnership with business consultant and colleague, John Weld, of APARS Associates, we helped prepare the legal documents for the company's private offering.


New Endowment for the San Francisco Boys Chorus

The San Francisco Boys Chorus

The San Francisco Boys Chorus, one of the City's treasured cultural institutions, asked Spiller Law to create an endowment agreement to establish the Juelle Hinman Training Director Chair.

Juelle was the much beloved Director of the SFBC Training Group for many years. In honor of her commitment to the Chorus, her family formed the endowment to provide funds to pay the salary of the Training Director for years to come.

This is the second endowment we have created for the San Francisco Boys Chorus. The first one, created in 2007, was in honor of the founder of the chorus, Madi Bacon.


Online Guitar Instruction expands with success

Jon Broderick

Berkeley-based entrepreneur, Jon Broderick, CEO of the leading online guitar instructional site, GuitarTricks.com, has retained Spiller Law to help the company maintain its preeminent position in the online world.

Spiller Law is currently negotiating with EMI, Sony, Warner Chappell and others to secure rights to allow GuitarTricks.com to feature lessons showcasing a catalog of the world's most popular rock songs on its site.


Film begins shooting in San Francisco

Josh Kornbluth, actor, monologuist, and filmmaker, is currently shooting his autobiographical film, Love & Taxes, based on his monologue by the same name. It is to be shot entirely in the San Francisco Bay Area.

A stellar crew has been assembled for the project including Director Jake Kornbluth, and Oscar Award-winning Cinematographer, Hiro Narita.

Spiller Law is providing legal services for the production.


Lindsay Spiller Leads "Film Business" Workshop
 Selected to lead California Lawyers for the Arts Workshop

On November 19, 2008, I conducted a workshop entitled, "The Business of Making Your Film" at San Francisco's Fort Mason Center on behalf of California Lawyers for the Arts (CLA). CLA a non-profit volunteer organization providing legal advice for artists.

As part of my commitment to donate a part of my time to the Arts community, the workshop proved to be a lot of fun and was very well received. I have been asked to lead another presentation in March.


High School Friends Reunite

On a personal note, I am fortunate to be reconnecting with dear friends from my past.

Cynthia Shane Smith
, a high school classmate, talented actress and musician, and now Statewide Director of Development for the March of Dimes, works just around the corner from my office. We have had a great time getting together for an occasional lunch or coffee.

David Patch, also a high school classmate, has had an impressive career in real estate and is now very involved as a musician with the Cantare Con Vivo Chorale here in the Bay Area. David came to me recently for estate planning advice and is now a client.

Our meeting again has rekindled friendships that stem from our days together as students at Acalanes High School in Lafayette, California.

My brother, Scott Spiller, also paid me a surprise visit recently. A pilot, musician, surfer, and successful aviation insurance executive, Scott lives in Dallas, Texas.
