2010 or 2011...When should you Incorporate or form an LLC?
Many of you ask us about the benefits of incorporating or forming an LLC in the current year versus waiting until the New Year. While it's always wise to incorporate or form an LLC to protect your personal assets and potentially save on taxes, some people may find it beneficial to wait to have the incorporation paperwork filed after January 1st.
Some states have a minimum franchise tax that must be paid if the business is formed with the state in that calendar year. On the other hand, many people find that the benefits of incorporating - saving on taxes, adding credibility to the business, attracting investors, and reducing personal liability - are more important that the cost of the franchise tax (if it applies). Further, establishing a business by filing with the state in the current year makes the business technically one year older, which is often desirable to many business owners.
