Shareholder Empowerment or Say-on-Directors?

About a year ago we asked a similar question, considering say-on-pay instead of "shareholder empowerment." 

 

recent speech prompts a fresh look at the current governance choices available to investors. Not surprisingly, least of all based on the title ("What's Wrong With Shareholder Empowerment?"), these remarks come down squarely on the side of vesting all corporate decision-making authority in the BoD and executives, and against shareholder empowerment.

 

Yet, as we reasoned then in the context of say-on-pay or say-on-directors, is there any doubt which one we investors prefer? We examine the choice in our current blog post.
