Business Transition and Valuation Services

In mid-December, we received an urgent phone call from an estate planning attorney who needed a business valuation prepared by the end of the year for inclusion with a gift tax return. The minority interest valuation was for a family limited partnership holding marketable securities, real estate investments, and a 50% interest in a separate legal entity.

Result #1: We prepared an in-depth business valuation report on time and on budget. We applied our advanced knowledge of closed-end funds, tiered entity discounts, and minority interest lack-of-control and lack-of-marketability discounts to determine a realistic and supportable value. Our deep bench of trained staff here at Berntson Porter allows us the flexibility to tackle and complete projects with tight deadlines.

Our Business Transition and Valuation Services Group specializes in business owner Exit Planning and Implementation, merger and acquisition advisory services and business valuations for gift, estate, owner transfers, divorce and litigation support. Please contact Allan Vander Hamm at 425.289.7613 or avanderhamm@bpcpa.com to learn more.

A company performing party and event planning services came to us for help classifying their revenues for Washington business and occupation tax purposes. Due to the complexity of the tax laws, there are several ways the revenues might be classified. If the business chose to report their revenues using one method and a government auditor decided another method is more appropriate, there would be a tax liability. image: balloons

Result #2: We wrote a well-argued, undisclosed ruling request on the company's behalf. The Department of Revenue's written response confirmed they are properly classifying their revenues. This ruling gives the business peace of mind that there should be no future tax surprises. For more information on how to file ruling requests contact Darcy Kooiker, CPA, Principal, Director of State and Local Tax Services at dkooiker@bpcpa.com or 425.454.7990.
