Welcome to our briefing update for July 2010.

Our client of the month is Interior-iD, a company focused on producing high spec bespoke fitted interiors. The company was established by two brothers, Johann and Bernd Radaschitz, the fourth generation of a family working as cabinet makers in Austria since 1923. Both trained in interior design in Austria and Italy before working in London for two years as designers. They recognised a gap in the market for quality high-end manufacturers, committed to reliable quality and workmanship and so Interior-iD was born. The company manages projects in all territories from their headquarters in London and Vienna and their products are made and shipped from their workshop in Austria. 

In this newsletter we continue on this theme with our focus on the protection of design for businesses and also the importance of terms and conditions using as an example a long standing client of ours in the furniture business.  A plot, a purpose or a work of art - what is design?
 
Interior ID design workBusinesses are becoming increasingly aware of the advantage that design rights can give them over their competitors. Design rights can offer particularly attractive benefits over other forms of intellectual property rights; for example, speed and simplicity of registration and relatively low cost.
 
So what is a design right?
 
Design rights protect the appearance of the whole or part of a product. They can be registered or unregistered. As with trademarks, design owners can apply for a UK registered design or a Community Registered Design which is a registration protecting a design in 27 countries. A registered design must be novel and of individual character. Design rights protect the individual characteristics of a new idea taking into account the shape, lines, contours and colours.
Examples include the appearance of a chair or mobile phone casing.
 
Design registration is relatively low-cost and is particularly appropriate for industries such as fashion and interiors where design is instrumental in selling a product. Design rights are perfect for manufacturers and designers seeking to protect wide and ever-changing product ranges such as clothing and furniture. 
 
What do I need to do?
 
An application for Registered Design Protection must be made to the Intellectual Property Office. Before making an application, it is important to ensure that the design meets specified criteria and it is sensible to take advice on this point.
 
Many businesses are now recognising the benefit of incorporating design right protection into their broader portfolio of intellectual property rights. Design rights can sit well alongside trademarks, providing better protection by protecting the design as well as the name or graphic associated with it. Terms and Conditions - Why are they important?

One of our existing clients, a furniture maker, faced problems with the way in which payments for his furniture was made. Our client had no written contracts but agreed orally with all of his customers to take a deposit of 10% for the goods and for the balance to be paid once the goods were delivered.
 
Many customers would comply, however a number would pay a deposit in advance, but once the goods were delivered, they would leave it months before they finally settled the bill. Our client would be left out of pocket, having given up rights to the goods as well as having to chase for payment. As you well know, time is money. We were asked to help deal with the issue.
 
The ideal solution would have been to obtain full payment in advance but this was not workable from the client's point of view and would lose him business. We therefore put in place a set of terms and conditions with clear payment terms and additional benefits such as charging interest and making sure the ownership of the goods only passed upon full payment being made. We also added further protection by reviewing the client's current insurance policy and limiting his liability to the maximum amount covered under his insurance.
 
Other important clauses to consider in written terms of business are jurisdiction when dealing with cross border imports for example, how and when you can terminate your relationship in the event things don't go according to plan and the scope of your services to prevent any dispute on what was promised as against what was delivered.
