March 1, 2012
 Greetings!

Welcome to the e-mail version of The Log. This is not intended to replace the printed Log that is delivered in the Columbia Flier. We are hoping to reach more residents by e-mail, especially those who may not receive the Columbia Flier version.

If you typically receive the paper version of The Log, it should have been delivered in the Columbia Flier this week. If you received the Flier but The Log wasn't inside, please contact me at jduvall@hickoryridgevillage.org.

Changing By-Laws

The Village Board has proposed changing the association's by-laws to eliminate a village election if there are no contested seats. As you may know, we have had difficulty reaching the required number of resident votes to constitute a quorum for several years. Per our legal documents, we must publish the proposed changes to the by-laws in advance of the election.

The following changes will be included on the 2012 village election ballot:

Proposed By-Laws Changes

Changes to be voted upon are underlined.

Article II - Board of Directors; Section 2.03.   Election of Directors.

TO BE ADDED AT THE END OF THIS SECTION: ...Not withstanding anything to the contrary set forth herein, if, after the deadline date for candidate's statements has closed, the number of candidates meeting the requirements set forth in Section 2.03 is less than or equal to the number of vacant director positions, the qualified nominees shall be deemed to have been elected by the members and the Board of Directors shall appoint such nominees to the available director positions for the term provided for in Article 8 of the Association's Articles of Incorporation.

Section 2.04. Vacancies. Any vacancy occurring in the Board of Directors or Columbia Council Representative position for any cause other than by reason of an increase in the number of directors may be filled by a majority of the remaining members of the Board of Directors, although such majority is less than a quorum. Any vacancy occurring by reason of an increase in the number of directors may be filled by action of a majority of the entire Board of Directors. A director or Columbia Council Representative elected by the Board of Directors to fill a vacancy shall be elected to hold office until the next annual meeting of members or until his successor is elected and qualifies.

Article IV - Officers; Section 4.04. Columbia Council Representative.

TO BE ADDED TO THE END OF THIS SECTION...The member elected as representative on the Columbia Council shall perform those functions, and shall have those powers, specified in the Charter of the Association and the Charter of The Columbia Park and Recreation Association, Inc. Not withstanding anything to the contrary set forth herein, if, after the deadline date for candidate's statements has closed, there is not more than one candidate meeting the requirements set forth in Section 2.03, the qualified nominee shall be deemed to have been elected by the members and the Board of Directors shall appoint such nominee to the position of Representative to the Columbia Council for the term provided for in Article 9, Section 9 of the Association's Articles of Incorporation.

April 21st Election

Village Election Day will be held on Saturday, April 21st, 2012. Residents will elect one member to serve on the CA Board of Directors and five to sit on the Hickory Ridge Village Board. CA's Board meets on Thursdays, and our Village Board meets on the first and third Mondays of each month. All candidates must be members of the village association (live on CA-assessed property in Hickory Ridge Village).

Candidates must submit to the Village Manager by March 17 at noon a statement of not more than 150 words. The statements will be published in a special election supplement of The Flier and in our village newsletter.

If you have questions about this process, please call the Village Manager at 410-730-7327 or email jduvall@hickoryridgevillage.org.
