Value Drivers in Business Sales/Acquisitions 

Buyers are attracted to certain businesses for reasons other than just reported profits.  Some even pay premium prices for businesses if they see other factors that motivate them.  These other factors are called value drivers.  For any specific business and for any one buyer in particular, these value drivers may be unique.  Generally, they can be grouped as follows:

·  Books, records and databases are complete, detailed and
   accessible; and

·  Acquisition of the business is offered on reasonable terms with
   the availability of bank financing and/or seller financing offered as
   a "bond of performance."
