Under the By-Laws, the First
Vice-President/President-Elect shall automatically succeed to the
Presidency. The Second Vice President shall automatically succeed to
First Vice President, then to the Presidency. To be eligible to run, one
must be a paid attorney-member of AABA. Other eligibility requirements may
apply and shall be reviewed by the Committee. Any questions regarding
eligibility or election rules should be addressed to the Committee. The
Committee invites your participation in this important process. You may
nominate yourself or any other member or members by contacting the Nominating
Committee, as noted below.
Second Vice President. The Second
Vice President shall assist the President and First Vice President in the
discharge of the President's duties as the President. The First Vice
President may direct and shall perform such other duties as from time to time
may be assigned to the Second Vice President by the President, First Vice
President or Board of Directors. In the absence of the President or First
Vice President, or in the event of the President or First Vice President's
inability or refusal to act, the Second Vice President shall perform the duties
of the President and when so acting, shall have all the powers of and be
subject to all the restrictions upon the President. The Second Vice
President shall have responsibility for overseeing the Membership Development
Committee of the Association. The Second Vice President shall also serve
as First Vice President-Elect, in other words, the Second Vice President shall
act as First Vice President for a one-year term immediately following his or
her one-year term as Second Vice President.
Treasurer.
The Treasurer shall be the principal accounting and financial officer of the
Association. The Treasurer shall: (a) have charge of and be responsible
for the maintenance of adequate books of account for the Association; (b) have
charge and custody of all funds and securities of the Association, and be
responsible therefor, and for the receipt and disbursement thereof; and (c)
perform all the duties incident to the office of Treasurer and such other
duties as from time to time may be assigned to the Treasurer by the President
of by the Board of Directors.
Secretary. The
Secretary shall: (a) record the minutes of the meetings of the members and of
the Board of Directors in one or more books provided for that purpose; (b) see
that all notices are duly given in accordance with the provisions of these
Bylaws or as required by law; (c) be custodian of the corporate records and of
the seal of the Association; (d) keep a register of the post office address of
each member which shall be furnished to the Secretary by such member; and (e)
perform all duties incident to the Secretary by the President or by the Board
of Directors.
Board Member --
General Powers -- The affairs of the Association shall be managed by and under
the direction of the Board of Directors.
