Integrated Filing Solutions manufactures and distributes a broad array of stock and custom file folders, index tabs, labels, and related filing accessories to specialized dealers and resellers throughout the United States, Canada, and Puerto Rico. The Company was formed in 2008 through the merger of Milwaukee-based SEMCO Products, along with Chicago-based Positive Marketing Associates & Midwest Index, bringing together three leaders in the custom filing products industry. After several years of growing the newly combined business, the ownership of IFS desired to explore strategic and financial alternatives and PPC was engaged as the Company’s financial advisor. The engagement facilitated by PPC encompassed a complete refinancing of the IFS’s existing bank debt, a recapitalization of IFS’s ownership, and a sale-leaseback of one of the Company’s facilities. The resulting recapitalization better positions the business for continued future growth, while consolidating the Company’s ownership.

The IFS engagement represents another successful closing for Promontory Point Capital representing privately-held companies with unique ownership and financial objectives. Promontory Point Capital continues to assist Integrated Filing Solutions in the exploration of growth alternatives, including advising the Company on strategic acquisitions. The closing of the IFS recapitalization transaction in June is the fourth "Done Deal" for PPC during 2011.

Promontory Point Capital is a Milwaukee-based investment banking boutique focused on the needs of Midwestern privately-held businesses. Since 2003, our firm has helped dozens of companies explore financial and strategic alternatives for their business including the arrangement of debt and equity financing, the evaluation of business sale or recapitalization options, or the planning and execution of growth strategies involving acquisition, merger, or joint venture. Situations where we have been helpful include:
  • Business owners and management teams wishing to better understand their options relative to ownership liquidity strategies or financing alternatives.
  • Growth orientated companies requiring financing for expansion.
  • Funding needed to finance acquisitions, shareholder redemptions, or buyouts.
  • Under-capitalized businesses needing an injection of “junior” capital beyond bank debt, such as subordinated debt or equity.
  • Companies over-extended with their current lender or bank group, including forbearance situations.
