Membership to Ratify Changes
During a July 29, 2009, meeting, the POMA Board of Directors approved the final language for several bylaws changes previously approved by the board.
The changes must be ratified by the Voting Media Membership.
In summary, the changes:
1. Establish an Executive Committee, made up of the board officers, which may conduct board business between regularly scheduled meetings. Prior, there was no executive committee.
2. Allows the board of directors to elect officers from the Voting Media Membership. Prior, officers were elected from the current board only.
3. Alters the conditions of board terms to accommodate election of officers from the Voting Media Membership.
4. Eliminates specific deadline dates for elections and other processes to allow for operations flexibility without the need for continual bylaws changes (due to set dates).
5. Establishes a process of action for unauthorized use of POMA's membership list, which was not previously explained.
6. Outlines a process for discipline of members, not previously covered in the bylaws.
7. Outlines POMA's Restricted Endowment Trust and funding options.
8. Specifies a schedule for organization financial reviews and audits.
9. Alters language under the "Dissolution" clause to ensure POMA assets, if the organization were dissolved, would be transferred to organization(s) focused on "traditional outdoor sports communications, the heritage of the shooting, hunting, angling, trapping or fish and wildlife conservation..."
