| Amendment to the Design Professional Corporation Bill
AIANYS has worked with Senator Ken LaValle and Assemblyman Ron Canestrari to advance an amendment to the Design Professional Service Corporations bill to make the new law more usable. The purpose of the amendment is to clarify the law regarding design professional services corporations by allowing professional corporations to convert to design professional service corporations (DPC's) without having to create a separate corporation, while converting from the original corporation.
Under this new law, design firms are given the option of offering an ownership interest in the corporation to non-licensed employees through an Employee Stock Ownership Plan (ESOP). However, it has become unclear whether or not professional corporations wishing to offer this ESOP can easily transition to DPC's without the need to reincorporate as a new entity. This amendment will clarify the conversion process for professional corporations by allowing corporations in good standing to simply convert to DPC's. |

By: David Businelli, AIA
AIA Staten Island has secured a bi-weekly column in the local newspaper, the "Staten Island Advance" entitled Architects Corner.
