Greetings!,
There's considerable interest in buying a K-12 Private Schools, Language Schools, Colleges, and Career Schools by
investors, individuals, and other school owners. Education has earned itself a position as a rapid growth international business.
What Is Involved In Selling Your School?
If you're thinking of selling your school, there's a number of steps you need to consider before you hit the market. And while you do this, you need to keep a lid on your activities as it's not good public relations for your staff, parents, or students knowing you're thinking of changing ownership. This is a challenge because you want as wide a market of interest as possible in your school while keeping the process quiet. Some things you need to consider are:
- Review your accreditation requirements to ensure that change in ownership does not impact accreditation.
- Ensure that your ownership group are fully on board with the sale. You shoudn't change your mind when you're half way into the process
- Ensure that you get an accurate valuation of your school. It can become complicated if your school has assets such as land. In many cases, we've handled the transition in ownership of non-profits, which has a number of complications that need to be handled well ahead of the process.
- Ensure that you've prepared all your documentation to ensure the sales process is efficient and engaging, including: NDA form, teaser document, full overview document, financial statements and enrollment numbers for the last three years, facility/land documentation, etc.
- Have your lawyer made aware of sale to ensure they're available to provide timely legal advice when needed.
- Ensure that your buyers have the capacity to acquire your school and that they're not tire kickers looking for a fire sale.
- Know your selling price and ensure that you're able to back up your valuation. Also, determine how much unearned revenue you will need to provide the buyer to cover operations, and whether you're willing to take a portion of your pay-out over an extended time frame with possible targets that need to be met.
- Finally, know if you're willing to stay on board as an employee after the sale to support the transition period.
There are a lot of other questions, but these are a start. If you're thinking of selling your school there are a number of issues you need to consider to ensure that you receive the highest value for your school, and there is a seamless transition in ownership.
