SEC Approves Say-on-Pay
The Securities and Exchange Commission (SEC) voted to adopt rules to implement Section 951 of the Dodd-Frank Wall Street Reform and Consumer Protection Act on January 25, 2011.
Section 951 gives shareholders a non-binding say on how much an exec  utive can make once every three years, starting with the first shareholder meeting held on or after January 21, 2011. There is also "say on frequency" voting, which means that at least once every six years shareholders must approve a non-binding "say-on-pay" voting schedule of every one, two or three years.
Section 951 also requires shareholder advisory votes to approve executive pay increases and bonuses related to mergers and acquisitions, also known as "golden parachutes."
Companies should read the full text of the final rules for details concerning company-specific requirements. Significant items include:
- Smaller reporting companies (generally under $75 million market cap), received a temporary exemption from "say-on-pay" and "say-on-frequency" votes until January 21, 2013.
- Initial public offerings (IPOs) received no similar exemption.
- Issuers must disclose the "say-on-frequency" decision no later than 150 calendar days after the annual meeting, or 60 days prior to the shareholder proposal deadline for the next meeting.

Location-Based Marketing is Shaping the Future
It's time to join the mobile market. Location-based marketing delivers multimedia and other content directly to the consumer via their mobile device depending on their location. This new space is an experimental one for many companies, however it is showing great results. Recently a panel was held on this new strategy: "What's Hot in PR: Brand in the Hand - How Location-Based Marketing is Shaping the Future," sponsored by the Advertising Women of New York (AWNY). Here are some takeaways from the PRBreakfast Club for those of you who are not mobile marketing gurus:
- Start with a strategy. Many brands are tempted to "jump in" without a strategy or purpose. Once you develop a strategy, make sure it's a measurable one!
- 2010 was about being there; 2011 is about engagement. A social experience can be the core of what you provide, but what value are you intertwining into that? The panel suggested developing incentives such as coupons or freebies to encourage retention as well as sales.
 - Drive awareness without owning the location. Many brands use mobile marketing to drive awareness without sending the consumer to a store for a specific purchase.
- QR codes and the mobile marketing marriage. Quick Response (QR) codes used in correspondence with mobile marketing can open up a world of possibilities from getting a direct line to the customer service department to instantly seeing reviews and price comparisons at a retail store.
- Measurement. Mobile marketing offers great opportunities for research. The more that brands become involved and consumers utilize these technologies, the more data can be collected to help companies study the behaviors and lifestyles of their consumers.

New York and German Exchanges to Merge
The New York Stock Exchange (NYSE) Euronext and Deutsche Borse recently ag reed to a $10 billion all-stock merger. By combining the Frankfurt Stock Exchange and the NYSE, the companies hope to allow investors access to thousands of stock listings in the U.S. and Europe, as well as options, derivatives and other services. The deal is expected to close by the end of the year.

Wil-Kil Pest Control Featured on WQOW 18 TV
Wil-Kil Pest Control and Max, the bed bug dog, were featured on WQOW 18 TV Eau Claire news on January 31. The three-year-old beagle travels around the Midwest with his handler Rick Schoening to sniff out those pesky bed bugs. Max detects the bugs, then scratches to let his handler know where they are.
