In this, our second issue, potential clients will find a brief introduction to molecular imaging and how you and Arroyo BioSciences can work together to optimize its beneficial effects in detecting, diagnosing and monitoring disease - a process leading to better, more effective therapies. We also welcome Professor Michael Tweedle of Ohio State University, a world renowned authority on molecular imaging, to our Scientific Advisory Board and report highlights of our attendance at the recent Society of Nuclear Medicine meeting in San Antonio, TX.

Like any new company, Arroyo BioSciences continues to grow and evolve. The company was recently restructured to more accurately reflect its dual mission - discovery and development of therapeutics to treat cancer, and design/synthesis of diagnostic imaging agents. Potential investors will find a discussion of the effects of the restructuring in this issue.

Molecular Imaging:

A Powerful Diagnostic Tool 

Even with today's advanced imaging technologies such as Ultrasound and Magnetic Resonance Imaging (MRI), soft tissue tumors can be difficult if not impossible to detect.  This is especially true when the tumors are small and have not yet begun to metastasize, or spread to surrounding tissue.  Fortunately, molecular imaging, through the use of specially designed and synthesized imaging agents, can aid in the detection of these tumors in their early stages, when they are most susceptible to treatment.

Recent Visit to SNM Meeting Yields Valuable Contacts

We recently had an opportunity to exhibit at the Society of Nuclear Medicine (SNM) 2011 Annual Meeting in San Antonio, TX. The visit proved to be quite valuable. We not only had an opportunity to chat with visitors to our booth who were interested in our services, but also to meet other exhibitors who expressed interest in collaborating with us in our efforts to better detect and monitor disease through the use of imaging agents.

 

After selecting the best compound for imaging a particular targeting group, for example, we work with trusted partners who scale up production and produce the actual images. At the SNM Meeting, we spoke with several other exhibitors who have that capability and are interested in holding further discussions. We also met with several animal imaging specialists with whom we discussed possible late stage animal studies for the identification of improved imaging agents.

Company Restructuring Will Benefit Investors

In order to more accurately reflect the company's two distinct business units and the different investment opportunities offered by each, Arroyo BioSciences, Inc. (formerly an S Corporation), will now become Arroyo BioSciences, LLC (a Limited Liability Company) and will exercise control over the two business units:

  • Arroyo Therapeutics, LLC - engaged in discovery and development of therapeutics to treat cancer, and
  • Arroyo Diagnostics, LLC - engaged in design and synthesis of diagnostic imaging agents.

    Adoption of this corporate structure allows the company to offer investors the opportunity to invest in either or both of its business lines. 

Both the S Corporation and the LLC form of incorporation share two important advantages:

  • Stockholders are generally not responsible for the company's liabilities, and
  • Although stockholders are taxed on distributions from the company and on gains from sale of stock, the company itself is not required to pay taxes on its profits. 

A significant disadvantage of the S Corporation structure, however, is that the number of investors is limited to 75, and only U.S. residents and citizens and certain trusts are allowed to be stockholders. In some cases, this severely restricts the flexibility of potential investors.

We are very pleased to announce the appointment of Professor Michael F. Tweedle of Ohio State University to the Scientific Advisory Board supporting Arroyo Diagnostics, LLC.  Click here for his complete bio.
  
Dr. Tweedle, a renowned authority in molecular imaging, holds the Stefanie Spielman Chair in Cancer Imaging in Radiology and The James Comprehensive Cancer Center at The Ohio State and is Director of the Wright Center Molecular Imaging (MI) Agents Laboratory. Prior to joining Ohio State in 2009, he was President of Bracco Research USA (1995-2009), where he was the lead scientist and chief executive for creation of new imaging pharmaceuticals. He has invented and led preclinical development of diagnostic imaging pharmaceuticals for MRI, X-ray and nuclear medicine, and for radiotheranostics, including ProHance, a leading commercial MRI agent. In 2005, he won the Harry Fisher Medal for excellence in contrast media research.
  
Professor Tweedle will bring invaluable experience to the newly formed Arroyo Diagnostics, LLC and we are delighted to have the advantage of his knowledge and expertise.
