Chapter Meeting. Those in attendance were well informed on the subject matter of water intrusion by speaker, Paul Goetz, RWC of Aquatech Consultancy.
One milestone that we think is worth sharing with the Chapter is in regards to our membership renewals. We just achieved a 90% renewal rate. It is appropriate to acknowledge the efforts of the Membership Committee, along with the tremendous support of our Executive Director, Judy Tufo. After years of declining membership, we are finally heading in the direction of increasing our Chapter membership. Keep up the good work!
To keep the REMMIES seed fresh in everyone's mind, August is the month where applications are due. An article announcing the 2012 REMMIES Program is included later on in this Newsletter. At this date in time, you should be strategizing which recently completed projects you are going to submit for application. There will be future additional announcements forthcoming in the coming weeks.

The majority of our members are Small Business Owners. We tend to wear many hats and take personal accountability in all aspects of our work. We are always striving to balance our work and personal life. The goal of our Chapter and NARI National is to provide you with the resources to make you more successful. What better way to make you more successful than to introduce you to the practice of improved time management and organizational skills. Could you imagine hiring a carpenter that lost one hour every day trying to find where his or her tools were, or a project manager that scheduled their work only 24 hours in advance, OR worse to imagine a homeowner who could only select products incrementally as the project was under construction. This is a good analogy to how we, as business owners, need to evaluate our time management and organization techniques.
Don't miss our July Chapter Meeting, where Rosie Aiello of Clear Vista Consulting will introduce the concept of "Your Time is Your Money" at Jack London Kitchen & Bath Gallery.
In addition to attending a great presentation from Rosie Aiello, please a;sp join us as we celebrate the 25th Anniversary of NARI Membership for McCutcheon Construction! It is certainly a milestone, and we would like all of our Chapter members to share in the celebration. We look forward to seeing everyone on July 11.

"Wndows, Walls and Waterproofing: Why Do They Leak?"
Our sincere thanks and appreciation to Matt Jessee, Julie Arcino, and Ricardo de Jesus of MB Jessee for hosting the June 2012 SFBA NARI Chapter meeting on Wednesday evening, June 13. It was a great meeting!
The Mexican fare was very fresh and really delicious. Tacos, burritos, quesadillas and taco salads were made to order. Many compliments were given by members and guests alike. Compliments to the taco truck man!
After a delicious meal, MB Jessee held a "Painter for A Day" raffle, and three lucky winners won the services of MB Jessee for one day. Winners could use the servcies themselves or use it for a client. After the evening's presentation, the night was capped off by Matt Jessee providing members and guests a paint can full of regular and chocolate dipped Madeline cookies! It was an brilliant idea and one that people are still talking about. Great marketing!
Our deep gratitude and appreciation to Paul Goetz, RWC from Aquatech Consultancy for his informative and interesting presentation on "Windows, Walls and Waterproofing, Why Do They Leak?" Paul engaged the audience and kept them interested throughout his presentation. Thank you Paul!

Mechanics' Lein Law Changes | | |
Law Changes Effecitve July 1, 2012
Law Alert! New Mechanics' Lien, Stop Notice, and Payment Bond Laws
Effective July 1, 2012
The Law Revision Commission proposed a reordering of the statutes governing
mechanics' liens, stop payment notices, payment bonds, and related remedies for both private and public works. In response, the legislature passed and the Governor signed SB 189 in 2010. A few changes became effective on January 1, 2011; the remaining will became effective on July 1, 2012.
For those who are interested in looking at the new law, go to www.leginfo.ca.gov/calaw.html. Once there, check the Civil Code box and hit search, then scroll down to section 8000.
Although it made some substantive changes, the bill primarily renumbered all relevant Civil Code provisions. Here is a summary of the most important substantive changes under SB 189:
The term "stop notice" will become "stop payment notice," and the term "original contractor" will become "direct contractor." They retain the same functions as before the amendments effective July 1.
A design professional may record a mechanics' lien for providing work authorized for a work of improvement, subject to specified conditions. Also under SB 424 (adding CC §8319; see Stats 2011, ch 127), also effective July 1, 2012, a design professional may convert a recorded design professional lien to a mechanics' lien if certain requirements are met.
Under CC §8200(e)(2), any claimant who has a direct contractual relationship with the project owner must give a preliminary notice to the construction lender. This claimant class includes the prime or general contractor.
Under CC §9200(b), if work has ceased continuously for a 60-day period (rather than a 30-day period under the former law), the deadline for calculating service of a stop notice to a public entity is calculated from the 60th day rather than the 30th day.
CC §3149 will be repealed and joinder of plaintiffs, as well as coordination and consolidation of civil court actions to enforce mechanics' liens will be governed under the more general provisions in CCP §§378, 403, 404, and 1048.
As a condition to obtaining, reinstating, or renewing a license, or continued use of an existing license, a limited liability company must post a contractor's surety bond in the amount of $100,000. Bus & P C §7071.6.5.
Although California courts of appeal have disagreed about whether a prevailing party may recover attorney fees in litigation over progress payments owing to the contractor, under CC §8800(c) (replacing CC §3260.1(b), effective July 1, 2012), the prevailing party on claims for wrongful withholding of progress payments is entitled to costs and reasonable attorney fees.
Under CC §8064, an owner may give a notice or execute or file a document under the mechanics' lien law on behalf of a co-owner if the owner acts on the co-owner's behalf and includes in the notice or document the name and address of the co-owner on whose behalf the owner acts.

Mechanics' Lein Law Changes/Sales and Use Tax

 HEADS UP! MECHANICS' LIEN LAW CHANGES
SALES AND USE TAX
Mechanics' Lien Law Changes Effective July 1, 2012. With the passage of Senate Bill 189, the California Civil Code provisions dealing with familiar construction claim remedies - including mechanics' liens - were revised and reorganized in an effort to simplify the legal rules. These changes include new definitions, new rules, and procedures which can now be found in California Civil Code Sections 8000 to 9566. (In addition, new forms are also required!). Be mindful of the following changes:
· All mechanics' liens must be accompanied by a "Notice of Mechanic's Lien" with the required "notice to owner" language.
· All mechanics' liens may not be recorded unless it has been accompanied by a proof of service of the lien and the Notice of Mechanic's Lien on the property owner.
· Failure to serve the mechanic's lien and the Notice of Mechanic's Lien renders the lien invalid.
Other New July 1, 2012 Construction Forms to Use. Also effective July 1, 2012, the following forms have been revised:
· The Preliminary Notice (formerly known as the Preliminary 20 Day Notice);
· The four "Conditional"/"Unconditional" Releases regarding progress payment and final payment (albeit slightly);
· Release of Mechanics' Lien;
· Stop Payment Notice (it was previously just the Stop Notice);
· Release of Stop Notice; and
· Notice of Completion.
So, now you are on notice. Be careful with the new mechanics' lien requirements. As always, should you have any questions regarding these new changes, speak with your counsel.
Sales and Use Tax Applicable to Construction Contractors. A contractor client of mine received an odd letter several months ago from the State Board of Equalization.
The letter stated that pursuant toCalifornia sales and use tax regulations, a construction contractor is either a consumer or a retailer - andthis classification determines whether sales taxes are owed by the contractor. A contractor is a consumer when he or she installs materials, resulting in sales tax being owed on the purchase price of the materials. On the other hand, a contractor is a retailer when his or her contract separately states the selling price of the materials from the charge for installation - and the contract explicitly provides for the transfer of the materials prior to installation. The contractor shall charge, and is responsible for,an amount for sales tax on the mark up selling price of the materials.
Confusing? You bet.
The example included in this letter was as follows. If a contractor provides a slab of granite to a fabricator and the fabricator cuts the granite to size for a countertop, that charge by the fabricator to cut the granite is considered fabrication labor and is subject to sales tax.
There are many factors in determining whether extra sales taxes are owed and they include:
· Item - whether materials, fixtures, or fixtures manufactured by installing contractor;
· How Acquired - whether purchased ex-tax or purchased tax-paid;
· Type of Contract - whether a lump sum or Time and Materials plus tax contract; and
· Fabrication labor performed by third party.
Are you still confused? I am. The reason for this development is clear; the State of California is fishing for new taxes. I am part of a study group on this and will report back. In the meanwhile, check with your CPA.
Your Construction Attorney (A Foreshadowing). I recently attended a program by an attorney who presented himself to a group of contractors and architects as a "construction attorney." He said there were perhaps 1,500 attorneys in the Bay Area who claim this title - but 1,400 really are not.
I agree with this fellow - most construction attorneys I deal with are at best only mildly versed in the various and arcane statutes and conventions in construction law. And many tend to be litigators. But how to select a "construction attorney" is a worthy topic, which I will address in the next column.
