Positive Fiscal Year Performance for Chapter

May Meeting - Getting to Know NARI & Other Remodeling Professionals

  

We would like to again express our thanks to our April meeting co-hosts Ken Burghardt and Ron Sasina of Domicile and Chip Doyle of Sandler Training.

We would also like to thank our guest speaker, Rodrigo Santos of Santos & Urrutia, Structural Engineers.    It was another excellent attended meeting with great networking, great food and an engaging speaker. 

 

At the April Board meeting, the Chapter's fiscal year financial statements were approved.  The Chapter was fortunate enough to have a positive financial outcome for the year.  We were able to outperform the budget that was established in March 2011.  This success was due to the hard efforts of many members.   The financial statements are available to all members for review upon request.  Inquiries can be directed to Judy Tufo, Executive Director, at

In governmental affairs, we were able to assist and work closely with our industry

partners,  organizations such as NKBA and our own California Coalition, to ensure that AB 2482, the California Design Licensing Bill, was withdrawn from consideration.  This Bill, if passed, would have negatively impacted the ability of many in our industry to perform design services.
 
 

Special thanks to HouseWORKS, Paradigm Concrete & Construction, and Wingard Construction and their respective staff members, for their involvement in "National Rebuilding Day" on April 28.  The SFBA NARI-Rebuilding Together partnership goes back over 8 years, and we are proud to support their excellent work.  A big thanks also goes to Commins Construction for their generous monetary donation. 

 

We are pleased to announce that one of our members was the recipient of the coveted National COTY Award.  A big congratulations goes to McCutcheon Construction for this accomplishment! 

 

Our May Chapter meeting focus will be on getting to know NARI and other remodeling professionals.   We have a great format created in which all of those in attendance will get to interact in a formal structure while discussing some of the most important issues in our industry.  We are really encouraging members to invite guests that would be interested in learning more about the NARI.  Not only is this is a great networking opportunity, but it is also a great opportunity to gain valuable insight into some of the critical topics and issues we face as remodelers.  As with all of our meetings, the investment of your time will provide a tangible improvement to your business.   We look forward to seeing everyone at the Wooden Window & Restoration Timber Showroom at 5pm on May 9!

For A Fabulous Chapter Meeting!

 

Our sincere thanks and appreciation to Ken Burghardt, Ron Sasina and Staff of Domicile for providing their beautiful showroom for our April Chapter Meeting. We would also like to thank Ken, Ron and Chip Doyle, Director of Sandler Training, for Co-Hosting the meeting.

    

TheChinese cuisine and beverages were fabulous, topped off by wonderful and decadent sweet treats for dessert.  The evening's atmosphere was lively, and members and guests alike had a great time, with lots of productive networking going on. 

 

Our deep gratitude and appreciation to Rodrigo Santos of Santos + Urrutia Structural Engineers, Inc. for his extremely informative and engaging presentation on Proposed Mandatory Seismic Retrofit Legislation & Future Construction Trends.   Rodrigo captivated the audience and kept them engaged throughout his presentation.  Thank you Rodrigo!

Members Register Early for Chance at Marketing Their Businesses

 

We had two companies at our April Chapter Meeting make "Marketing Moments" presentations!  Early registering member companies have a opportunity to market themselves in a couple of minutes or less with this program.  This is done spontaneously throughout the networking/dinner hour of the meeting by a SFBA NARI Board or Committee Member, whereby they ring a bell during different times during the hour,  giving each winner their moments.  This is a quick and fun way to get your company name out there!

Call for Business Cards for Use at Chapter Meetings

As many of you are aware, our Chapter Meetings have become very successful.  We have had a lot of members and guests at our meetings.

 

Many of our guests and members alike are taking the business cards we have available from our members that we display in our NARI card house. I am asking each SFBA NARI member to please send me a small supply (25) of cards to be used to stock the NARI house on a rotating basis.  This represents a great opportunity to generate new business from fellow members and guests alike.    You all know about "NARI members doing business with NARI members."  Having business cards available at the registration desk really goes a long way to promote members doing business with members, and it's good for the guests too!

Succession Planning - Being Prepared, Part I

This is not very happy stuff, but with several recent, untimely, and sad deaths of clients the matter of succession planning has become a front burner issue.

 

All of us will be leaving our work, voluntarily or involuntarily.  If we properly prepare, the involuntary departure can still be followed by an orderly succession in the business.

 

Estate Planning And The Living Trust

 

Estate planning covers a gamut of topics.  Estate planning and living trust likely are terms you are familiar with.  However, because the purpose of this article is limited to providing a brief outline of specific available legal and transactional tools to be utilized as part of an orderly succession plan, only brief summaries are provided.

 

What is a "living trust"?  Just like a will (a simpler estate planning device), a revocable living trust is a written document that lets you direct how your property will pass after your death. Unlike a will, it also directs how you want your property managed during any disability.

 

To establish a living trust, the person creating it has a trust document drafted and then transfers his or her property into the trust.  This transfer is known as "funding" the trust.  The trust does not take effect until the creator effects the transfers.

 

A living trust initially takes effect during the creator's lifetime.  The creators of the trust usually name themselves as the initial trustee responsible for managing the trust. This allows the creator to keep control over the trust property during his or her lifetime.  He or she may move money and assets in and out of the trust as appropriate.  This trust property could and should include assets of your business or the business itself. 

 

In addition to the lifetime control of the trust assets, the person creating it may revisit the structure of the trust later and make any changes that he or she feel are appropriate. 

 

Why is it a good idea?  By placing property into a trust, the trust is self executing and thus no probate in court - which is a slow and very costly process.  (The cost of a trust is very cheap in comparison to probate costs.)  The court gets no control over the trust's assets, and can not tie up them in a lengthy process. The trustee simply distributes assets to named heirs - but only if those assets have actually been placed inside the trust.

 

Who to see?  If you are one of those rare persons who doesn't have fifteen immediate family members who practice law, your business attorney could make a recommendation to an estate planning specialist.

 

Buy-Sell Agreements

 

A Buy-Sell Agreement (also known as a buyout agreement) is a binding agreement between co-owners of a business that governs what happens if a co-owner dies, is forced to leave the business, or chooses to leave the business.  This type of agreement is ideal for business that are owned or controlled by more than one person.  It may be thought of as a sort of premarital agreement between business partners/shareholders.

           

Tt usually works like this: two or more persons enter into an agreement funded by insurance.  Typically if something happens to an individual named in the agreement - death or disability - this triggers a buyout funded by the insurance.

 

Tailoring such an agreement to fit one's specific needs can be done through the use of different contractual provisions.  Generally a Buy-Sell Agreement controls these following business decisions: 

  • Who can buy a departing partner's or shareholder's share of the business (this may include outsiders or be limited to other partners/shareholders);
     
  • What events will trigger a buyout, (the most common events that trigger a buyout are: death, disability, retirement, or an owner leaving the company), and;
     
  •  What price will be paid for a partner's or shareholder's interest in the partnership.           

Why it is a good idea.  A chief concern of the owners of a small, closely held business is what would happen to the business if one of the owners could no longer continue. Surviving owners generally want to ensure a continuity of ownership and management without necessarily having the departing owner's successor thrust upon them. Nor do they want to unduly compromise the liquidity needs of the business by funding a significant buyout. Disabled or deceased owners would want their families compensated fairly for their share of the business.  For any and all of these concerns, a Buy-Sell Agreement is the solution. 

 

Who to see?  Your business counsel.
