Now Is the Time to Work on Your Business

 
Now that the recession has officially been declared over, it's time to work on your business in order to grow its value and marketability. Over the years, we've seen companies that were bought up quickly and ones that have been on the market for many months. Why? My belief is that buyers are looking for specific qualities in a business to acquire. These qualities must be present in a business for a buyer to be attracted to it in the first place. If they're missing, buyers just won't be interested. If you eventually want to sell, one of your jobs as a business owner is to create value in your business prior to the sale.

Private equity firms need to put their capital to work in today's market.  This need, coupled with the difficulty of raising senior bank financing to support traditional buyouts or majority recapitalizations of companies, is motivating more private equity groups (PEG) to consider making minority investments in businesses.  To protect their investment, PEGs are using distribution waterfalls, different series of preferred stock and other creative structures.  With today's lower business valuations, some PEGs cite the potential for valuation multiple arbitrage upside as a partial incentive for taking the risk of making a non-control investment.
