Dear NADCA Member,
NADCA is governed through its Bylaws, which authorize the Board of Directors to act on behalf of the Association's members. Periodically, the Bylaws are revised to reflect changes in the way the Association is governed. The time has come to update the provisions within NADCA's Bylaws.
The Board of Directors is proposing to revise the Bylaws, as outlined in the linked document below. Revisions to the Bylaws require a 2/3 vote of the members voting on this matter. This vote is scheduled to take place as part of the 2011 General Business Meeting, which is scheduled for 10:00AM to Noon on Tuesday, March 22, 2011, at the Hard Rock Hotel & Casino in Las Vegas, Nevada.
Please take a moment to review the proposed Bylaws revisions. This proposal includes many low-level changes, and several more substantive changes, such as:
- Authorizing the use of electronic voting and electronic communications, consistent with the capabilities of current technology;
- Modifying Board of Director nominations and elections procedures and requirements;
- Formalizing Supplemental Membership within the Bylaws;
- And more.
In reviewing the proposed revisions to the Bylaws, you will see some text that has been stricken through. This text is proposed for deletion. You will also see underlined text. This text is proposed for addition. You will also see occasional Bylaws Committee Notes, in italic text, which are included to provide the rationale behind some of the proposed revisions. The current Bylaws of the Association are also linked below so you can compare this proposal to what is currently in effect.
Due to the limited amount of time available for discussion of these proposed revisions, we encourage you to contact NADCA in advance with any questions you may have. If you will be unable to attend the 2011 General Business Meeting in person, you may designate a NADCA member in good standing to vote as your proxy on your behalf. If you wish to use NADCA's proxy voting, please contact NADCA Headquarters for details.
