Commentary
--2009 Ends. Thank God.--
To say that this year was a monster roller coaster ride in the economies of the world would certainly be an understatment. The last couple of weeks, as buyer's scramble to find paper (in their continuing self-sabotaging insistence on using their procedures) pricing has gone up as the supply goes down. Yet there is still the continual misrepresentation of brokers and ill-informed, or ill-educated intermediaries and some sellers, too. Fortunately, the changes that have been long overdue will go into effect around the end of January, and those who have been operating incompetently or fraudulently may find enforcement authorities knocking on their doors. Good riddance.
Basel III will kick in, and those who can interpret the writings will find most reputable sellers and buyers, or their principal authorized representatives, the last ones standing. This will clear the way for more straight-forward, direct principal to principal transaction conversations, and eliminate what I have called "InterFeriaries" who see a fast buck and don't understand the basic human relationships needed for someone to trust someone else before making a deal-- particularly in this high-dollar arena. The big boys on both sides of the transaction have been both laughing at this, and also being frustrated by it, too.
That this piece of the financial industry, which has such huge impact on economies around the world, for it to have been allowed to become the Wild West of transactions, is beyond astounding.
Finally, those who can do something have woken up to find this mess at the very heart of the monetary flows and project fundings. It may not totally clear the sewer of people who don't know what they are doing, or are doing criminal things like changing legal documents that should not be touched, or spreading sensitive documents of a buyer to unauthorized parties, or otherwise representing themselves as "direct" when there is in actuality a chain of brokers. At least though, it may clear it enough for one side to deal with the other side cleanly, truthfully, and with good intention and capability to either buy or sell.
PPP TRADING MANAGERS
During the next weeks, until January 15th or so, trading platform managers have, for the most part, shut down to catch up with the paperwork and take a rest. My trading house has also closed down for the break for the same reasons.
NEW ORDERS CLOSED FOR SUBMISSION
We are not accepting new orders from buyers from now until the rest of the year-- and then resuming around January 4. A number of buyers keep trying to muscle in their orders, and they are not meeting with much success. It is a seller's market, and the seller's rule the procedures. It is amazing how many buyers insist on buying their way, then wonder why they can't find paper. I've already commented on this phenomenon many times in past issues, so I won't beat that dead horse here.
TRUST IS THE BOTTOM LINE
It takes the building of a relationship of trust before you can expect anyone to seriously allow you to work with their money or their paper. It is easy to become a bit complacent about letting people in who do not have the requisite business sense, ethics, integrity and accountability. I won't hold myself out as being the be-all, end-all, as I have certainly made my share of mistakes that had unintended consequences. Haven't we all? Fortunately, I usually learn from them. What I cannot understand is those people who do not learn the lesson and keep repeating it. It is not wonder that finding a reliable, trustable business associate is so difficult. I would be foolish to expect someone with hundreds of millions or billions of dollars to roll over and let in an unknown, untested or inexperience into their inner sanctums. |

What Are "Senior Life Settlement" backed Bonds?
Bundling these policies, or 'securitizing' them, into hundreds or thousands of these policies, will go into a Bond, to be sold to investors such as big pension funds, who will receive the payouts when the insured dies.
Life insurance is a bet, of course. The longer an insured lives, investors in these bonds could receive poor returns, or even lose money. But some proponents say it would benefit people who want to cash out their policies while they are still alive.
If a policy is purchased and packaged into a security, the investor keeps the policy alive by paying the premiums. With 26 Trillion dollars of life insurance policies in force in the United States alone, the market could be hard to ignore. Even is a small fraction of policyholders sell them into a bundle, some industry sources think the market could reach 500 Billion.
Reportedly, Credit Suisse is essentially building a financial assembly line to buy large numbers of life insurance policies to be packaged and resold as bonds to investors. Credit Suire purchased a company that originates life settlements and has established a group to structure deals, and another to sell the products. The same sources say even Goldman Sachs has developed a tradable index of life settlements, similar to tradable stock market indices.
PCC has already connected with a small group of underwriters also packaging these bonds, and believes that many investors in 'plain vanilla' medium term notes (10 yr/7.5%/cash backed) may be missing the boat by not looking into the SLS backed market. Because it is still in the early stages, establishing a relationship with a multi-stream source of bundles will put a buyer in the position of taking down the cream of the crop. PROGRAM DESCRIPTION This program is an Economic Stimulus Package that is designed to fund existing businesses, commercial and residential developments with strong reliable management/development teams that are able to operate their business profitably. Long-term players that have established credit worthiness and in need of funds to expand their business, develop new products, and establish additional operating capital or any combination of the three. The Funder is interested in long-term projects with companies that have a good established business and offer a sound business plan. The applicant must have the ability to provide a Financial Instrument that equals 33% to 50% of the total funding amount. This program is ideal for developers with multi-phased long-term projects in commercial construction, energy, medical facilities, assisted living facilities and more.

PROCEDURE - [MT799]: DIRECT SWIFT MT760 Fresh Cut BG/SBLC.
1. Lessor and Lessee execute, sign an initial a Deed of Agreement which thereby automatically becomes a full commercial recourse contract after Lessee application have been accepted by the Lessor.
2 After signing the agreement and simultaneously with the return of the agreement to the Lessee.
2.1 Within 24hrs the Lessee will instruct his Bank to swift by MT799 a bank undertaking/ICBPO the 10% lease fee directly to the Investor nominated bank account as agreed in the contract and application formalities.
3. The Lessor will instruct his Bank to issue and deliver the BANK INSTRUMENT OF XXX,XXX.XXX ( Million Euro/DOLLARS) by MT760 to Lessee's bankers for authentication & verification not later than 72hours of confirmation/receipt of the lessee's MT799 payment undertaking/ICBPO (10% of Face Value) into the Investor's bank account.
4. Upon receipt and confirmation of the Lessor's swift MT760 of BANK INSTRUMENT OF XXX,XXX,XXX (Euro/DOLLARS) by Lessee's bankers, Lessee will instruct his bank to make payment to the lessor and agent 2% fees by MT103 within 48hours for the lease amount.
5. Within 2 banking days after confirmation of receipt of payment of the (10% + 2% of Face Value) leasing/agent fees, the Lessor will deliver the hard copy of the BG to the Lessee's bank via bank bonded courier.
Should Lessee default to pay the leasing fees to the lessor and the Agents 2% fees as agreed after 2 banking days of confirmation of BG MT760 in lessee's bank account, Lessor will instruct the issuing bank to put a claim on the BG thereby forcing the Lessee's bankers to return the BG MT760 to the issuing Bank.

Bank Instruments for Trade Programs and Platforms

I am DIRECT to several trading houses, hedge funds and other sellers of paper. As a Seller Mandate for one trading house, I am connected generally either to the provider's principal, or rarely no more than 1 away from the person who can sign the contract. I do not accept offers of paper from non-principals!
Unfortunately, it seems to be a regular occurrence where people claim to have the ability to deliver a product and truly don't... most of the time due to their misrepresentation, some of the time due to circumstances beyond their control. In order to effectively put a Principal buyer together with a specific opportunity, we ask each buyer to complete the downloadable request form-a "wish list" if you will, for each of the paper they are looking for. The more specific the description of the instrument the buyer wants, the closer we can come to finding them what they are looking for. Otherwise, it's like walking into a grocery store filled with thousands of items and asking someone to 'show me what you got'. Waste of Time. As buyers and sellers come together, they can be directed to each other when there is a fit that is close, or exact. If you know where you are going, getting there is a lot easier. For legal reasons as mentioned above, paper sellers want to see the Buyer prepare either a Letter of Request or an LOI.
Some Buyers ask that the Seller provides some kind of letter or ISIN or CUSIP numbers. What they don't realize by asking that is they ask the Seller to SOLICIT an offer. Until a Seller has cleared the Buyer and his/her money, and provided a non-solicitation statement, the Seller can be looking at fines or jail time.
The Sellers are very cautious about this, even if the particular instrument is not subject to Solicitation rules. They tend to err on the side of caution. This opens the door for a conversation once the seller has had a chance to look over the buyer's request and do a quick due diligence check. It helps even more if a Non-Solicitation Letter or clause is included to better ensure compliance. Because the seller of an instrument is usually prohibited by regulations from soliciting, or appearing to solicit, someone to buy their paper, all initial interest in it must FIRST start from the buyer. In addition, post-911 "Know Your Client" rules require that a Buyer and his money be Cleared and Clean through Homeland Security and the Treasury. The seller cannot send out a LOI or other documents without first having been approached by the buyer prospect, then clearing him. So many buyers want to see the sellers informatio first, they don't realize they are actually asking for the seller to break the law! This is many times the reason a buyer is unsuccessful. Without even knowing it, they have demonstrated a lack of understanding of the manner in which a transaction is facilitated, and sent that message to the seller, who naturally will decline any reply or response. The role that I play is to facilitate the information about a buyer to an owner or seller of the paper desired, which helps overcome the issue of putting the seller at legal risk for being seen as soliciting. If I am not acting as the principal in the deal, simply providing the opportunity for a meeting of the minds with a buyer/seller is much like posting a "Want to Buy" notice, and having that delivered personally directly to a possible opportunity. In the case where other intermediaries might be involved in bringing the end buyer to the table, they must stand back immediately and allow for direct conversations to be facilitated with the buyer principal. However, if there is a chain of more than one broker between the Principal and you, we will NOT be interested in it. Group conference calls and broker interference in any way automatically kill the deal. If there is no one on the phone who can sign a contract or write a check, there is no reason to talk. Compensation is generally broken into two categories: Full Share and Referral Group. A Full Share of a box may be shared by those who are doing the heavy lifting in a deal, versus those would be considered a Referral Fee recipient-making a phone call or email to introduce the parties is not an entitlement to a full share of a box.
