martinwolf transaction analysis
Tribridge, Inc. Acquires ePartners Inc.
  • On December 1, Tribridge, a Florida-based Microsoft consultancy, announced it had acquired the majority of ePartners, Inc.'s US-based assets. ePartners is a Microsoft business solutions consultancy providing development, systems integration, and implementation for enterprise software applications.
  • The combination of two top ten Accounting 100 Resellers (Tribridge stands at #4, with reported 2010 revenues of $65M and ePartners at #7 with $35M) continues the M&A activity in the ERP and Microsoft consulting spaces.
  • The transaction will result in a combined company of approximately 400 staff, 20 US offices, and 3,500 clients.
  • This is the first acquisition by Tribridge since their private placement with LLR Partners in Nov. 2010. Tribridge will continue to seek complementary acquisitions in ERP, Microsoft infrastructure and cloud and managed services to fulfill white space and add additional offerings.
  • The current top Accounting 100 Reseller channel is still highly fragmented with the largest, Tectura, at #1 with $300M and the smallest, CompuData, at #100 with $3.5M. With organic growth still difficult to obtain in the current economy, we anticipate more consolidation as firms seek to both lower their fixed costs as well as reach new customers and markets.
  • TDS' acquisition of OneNeck IT Services in June highlights both the consulting side of ERP, but also the managed services and impending cloud offerings.
  • martinwolf expects current low interest rates to continue to fuel the pace of acquisitions and consolidation, particularly by PE firms specializing in the IT Services space.
